Priceshark does not assume any liability for losses arising out of investments made by Clients in accordance with advice or not.

Except as may otherwise be provided by law, Clients specifically agrees that Priceshark shall not be liable for:

 (a) any loss that Client may suffer by reason of any investment decision made or other action taken or omitted in good faith and with that degree of care, skill, prudence and diligence under the circumstances then prevailing that a prudent person acting in a like capacity would use in the conduct of an enterprise of a like character and with like aims;

(b) any loss, expense or other liability (including but not limited to attorneys’ fees) incurred by Client or Priceshark arising from or in connection with Priceshark’s compliance with the Guidelines or Instructions believed by Priceshark to be accurate;

 (c) any act or failure to act by any broker or other person with whom Priceshark or Client may deal in connection with the subject matter of this Agreement; or

 (d) any loss or failure or delay in performance of any obligation under this Agreement arising out of or caused, directly or indirectly, by circumstances beyond Priceshark’s reasonable control, including, without limitation, acts of God, earthquakes, fires, floods, wars, terrorism, civil or military disturbances, sabotage, epidemics, riots, interruptions, loss or malfunctions of utility, computer software or hardware, transportation or communication service, accidents, labour disputes, acts of civil or military authority, governmental actions and inability to obtain labour, material, equipment or transportation.
